The iPhone does not currently support using wi-fi or AT&T's EDGE network (the two connection types used by the iPhone) as portals for connecting a computer to the internet. In other words, while you can access the web using the web browser built in to the iPhone, you cannot currently set the iPhone for use as a modem by a computer.
You do not create a new account on your iphone. Instead you login with your existing account that you use on your laptop. Then they will be synced.

There are 2 possible ways of doing this. You can either sync your iPhone Notes with iTunes then sync your other iPhone or use iCloud in ios5 to transfer the notes. Hope this helps
