i just did this on a 2001 325 xi, worked the first time:
1. Working from within the vehicle and with the doors shut
2. Turn ignition to position 1 and back to off within 5 seconds.
3. Remove the key from ignition and press and hold the unlock button for 15 seconds during this time press the key lock button 3 times within 5 seconds.
4. Release both buttons.
5. Doors will lock and unlock to show correct programming has occurred.

You normally do not have to reprogram the key when you replace the battery. If you do you will have to contact your VW dealer.

It is done at the dealership(BMW's) An auto locksmith can do it, it takes a special program to communicate with vehicle PATS system, search them on Craigs under services. that is much cheaper than a dealer.
A new key for a BMW can be obtained by contacting your local BMW dealer. They will contact the factory in Germany that will make you a new key for your BMW.
leave the key in the ignition over night key should reprogram
