ROYALTIES
(a) Rate of Royalty. In consideration of the license granted to it, LICENSEE shall pay to the LICENSOR a royalty equal to ______________ percent, which rate may be adjusted as is provided below, of its wholesale price (without any adjustment for volume or other discounts) of all items sold by it using the symbols. For purposes of this Agreement, a sale by LICENSEE shall be deemed to have occurred when the item is shipped or the customer is billed for it, whichever occurs first. Deduction shall be allowed for any uncollectable accounts. No royalty shall be payable on sales by LICENSEE to the LICENSOR.
(b) Minimum Payments. Notwithstanding subparagraph (a) above, as minimum payments under this Agreement, LICENSEE shall be required to remit $_____ (_______ & _______/100 dollars) to the LICENSOR upon execution of this Agreement. This advance payment will be applied to royalty payments due herein.
(c) Rate Changes. Notwithstanding any other provision of this Agreement to the contrary, the LICENSOR may change the rate of royalty set forth in this Agreement should it, in its sole discretion, elect to change the rate of royalty charged to all licensees having similar license agreements with the LICENSOR. Should it elect to change the rate of royalty, the LICENSOR shall give notice of the new rate of royalty to the LICENSEE. The new rate of royalty shall then take effect on the first day of the month, six months following the month in which the LICENSOR gives notice of the new rate of royalty. Should LICENSEE not wish to accept the new rate of royalty, it may give notice of its rejection of the new rate to the LICENSOR, in which event this Agreement shall terminate without liability of either party upon the date the new royalty would have gone into effect if accepted. If the LICENSEE shall fail to give notice of rejection of the new rate of royalty within 120 days of the date of the LICENSORs notice, the LICENSEE shall be deemed to have agreed to the new rate.
PAYMENT
Payment of the royalties shall be due quarterly for the three-month periods ending on the last day of each calendar quarter and the period ending on the last day of this Agreement if other than such a quarterly period. Payment shall be in good funds not later than 30 days after the close of each quarterly period or last day covering all sales which occurred during the period.
Payment shall be accompanied by an accounting acceptable in form to the LICENSOR showing all sales which occurred during the period including, but not limited to, the type of item, the wholesale price, the quantity, the name and address of the purchaser, and the computation of royalty due. The first royalty payment shall be due no later than _______________________. In the event of any late payment, LICENSEE shall pay interest at the rate of 12 percent per annum from the 30th day after the end of each calendar quarter until the date of payment.
Solely as liquidated damages for the extra burden of bookkeeping and administrative costs related to tracking payments and accountings which are overdue, and not as interest or as a penalty, the parties agreeing that the damages and extra costs suffered by the LICENSOR are difficult to fix, LICENSEE shall pay a fee of five percent of the royalty due to LICENSOR should any payment be made after the 30th day after the end of each calendar quarter.
AUDIT
The LICENSOR or representatives designated by it may audit the books and records of LICENSEE relating to this Agreement from time to time, and LICENSEE shall promptly provide access to those books and records upon the LICENSORs request, but no more than once per quarter. All such audits shall be at the LICENSORs expense except that, if the audit shall establish that additional royalties should have been paid to the LICENSOR, LICENSEE shall reimburse the LICENSOR upon demand for the cost of the audit. Any additional royalties owed shall be paid immediately to the LICENSOR. LICENSEE shall maintain complete, readily comprehensible records of its sales covered by this Agreement for not less than one year after the accounting pertaining to them is rendered to the LICENSOR. All royalties which were not properly accounted for and paid shall bear interest at the rate of 12 percent per annum from the 30th day after the end of the calendar quarter in which the payment was due until date of payment. In any event, no audit or lawsuit may reach back more than 12 months for royalty payments.
APPROVAL
LICENSEE shall not use the symbols in any manner derogatory or otherwise unacceptable to the LICENSOR. The LICENSOR shall have the right to approve prior to any sale by LICENSEE all use of any of the symbols by LICENSEE on items covered by this Agreement. LICENSEE shall submit samples of all such items to the LICENSOR and obtain its written approval prior to any sale.
NO ALTERATIONS. LICENSEE shall use the symbols only as developed and approved by the LICENSOR. LICENSEE shall not alter the symbols in any way without first obtaining the LICENSORs express written consent.
EXPLOITATION
LICENSEE shall use its best efforts to exploit the symbols so as to maximize sales of items using the symbols while at the same time preserving the high standards of the LICENSOR. Without limiting the generality of the preceding sentence, LICENSEE shall maintain sufficient inventories of or manufacturing capability for items using the symbols so as to be able to fill promptly all purchase orders including but not limited to purchase orders from the LICENSOR. All items using the symbols shall be of high quality, design, and workmanship, and shall contain the notation “Manufactured under license from _________________________ LICENSOR.” The parties recognize that, notwithstanding their relationship as independent contractors, any inferior items will reflect unfavorably on the LICENSOR. Therefore, LICENSEE shall not use any promotional, packing, or other materials or items in connection with items using the symbols which may reflect adversely upon the LICENSOR or to which the LICENSOR shall object.
ADDITIONAL INFORMATION
LICENSEE shall furnish such additional information pertaining to sales of items using the symbols as the LICENSOR may reasonably request. This shall include, but not be limited to, information necessary or helpful to the LICENSOR to protect its rights with respect to the symbols.
SUB-LICENSES, TRANSFERS, ETC.
The license provided for in this Agreement is granted solely to LICENSEE. LICENSEE may not grant any sub-licenses nor may it transfer the license or any interest in it to others, either by operation of law or otherwise.
INFRINGEMENT
The LICENSOR shall be responsible at its expense for defending the symbols from infringement by others and defending against any claims by others that the symbols infringe upon their rights, all as the LICENSOR may determine in its sole discretion. LICENSOR shall defend indemnify, and hold harmless LICENSEE from any such claims of infringement by others. Upon any claims of infringement, LICENSEE shall promptly comply with the LICENSORs instructions concerning the allegedly infringing item including, but not limited to, ceasing immediately all further sales of the item. LICENSEE shall promptly notify the LICENSOR of any possible infringement or claim of infringement of which it becomes aware.
PRODUCT LIABILITY.
LICENSEE shall be solely responsible for the design and manufacture of the items to which the symbols will be applied and for the manner of application of the symbols to the items. Should any product liability claims arise with respect to any such item, LICENSEE shall be solely responsible for them and shall defend with competent counsel, indemnify, and hold harmless the LICENSOR from any liability with respect to such claims.
INSURANCE.
LICENSEE shall maintain during the term of this Agreement liability insurance (including product liability coverage) in form, amount, and coverage reasonably satisfactory to the LICENSOR to protect against any loss of the kind contemplated by the preceding paragraph. LICENSEE shall provide the LICENSOR with evidence of such insurance, including a certificate naming the LICENSOR as an additional insured under the policy. LICENSEE shall obtain the written acknowledgment of its insurance carrier that LICENSEEs insurance shall be primary with respect to any loss contemplated by the policy. The insurance shall provide that the LICENSOR must be given at least 30 days written notice before LICENSEEs insurance can be reduced, canceled, or not renewed.
TERMINATION
Should LICENSEE default with respect to any of its obligations under this Agreement, the LICENSOR may terminate this Agreement by written notice to LICENSEE, and the license and all of LICENSEEs rights under this Agreement shall then immediately cease. Notwithstanding the preceding, upon any such termination LICENSEE may, for a period of 120 days after the termination sell upon the terms of this Agreement and through normal distribution channels any items using the symbols which it may have in inventory or in process at the time of termination.
INDEPENDENT CONTRACTOR
The parties to this Agreement shall be independent contractors and shall have no other relationship not expressly granted by this Agreement. Neither shall hold itself out as having any other relationship to the other, and upon request from the other a party shall furnish a written disclaimer as to any other relationship. Neither party shall have the power or the right to bind or create liability for the other by its intentional or negligent act. Each shall defend with competent counsel, indemnify, and hold harmless the other for all claims of any kind arising out of its own acts or failures to act.
ENTIRE AGREEMENT
This Agreement contains the entire understanding of the parties with respect to its subject matter and supersedes all prior negotiations and understandings of every kind.

The End-User acknowledges that the Software contains valuable confidential information and trade secrets and that unauthorized use and/or copying are harmful to Licensor.
4. Termination.
This License is effective until terminated. This License will terminate immediately without notice from Licensor if the End User fails to comply with any of its provisions. Upon termination the End User must destroy the Software and all copies thereof, and the End-User may terminate this License at any time by doing so.
5. Export Law Assurances.
The End-User agrees that the Software is to be used only in accordance with United States laws and statutes, and will not be transferred or exported, directly or indirectly, outside the US to any country where it is so prohibited by US laws and statutes.
6. No Warranty.
Licensor provides no warranty of any kind with regards to the product. As a practical matter, however, the Licensor welcomes contact from any End-User that has any problems as to the product but offers no training as to its use. Training must be sought from experienced third parties who are available widely through references or the Yellow Pages. As with selling a car, car dealers do not take the responsibility of teaching people to drive. Similarly, Licensor does not undertake the responsibility to “teach” how to use the software included in this agreement.
No oral or written information or advice given by Licensor or its dealers, distributors, employees or agents shall in any way extend, modify or add to the foregoing warranty statement regarding no warranty be given to End-User.
NO WARRANTY IS PROVIDED, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THE END-USER ASSUMES ALL RISK AS TO THE SUITABILITY, QUALITY, EASE OF USE, AND PERFORMANCE OF THE SOFTWARE. All such Enhancements to the Software provided to the End-User shall also be governed by the terms of this License. IN ORDER FOR THE END-USER TO BE ASSURED THAT IT WILL BE ADVISED OF AND LICENSED TO USE ANY ENHANCEMENTS TO THE SOFTWARE, THE END-USER MUST COMPLETE, SIGN AND RETURN TO LICENSOR THE ATTACHED END-USER REGISTRATION CARD OR LEAVE THEIR NAME ON THE LICENSORS WEB SITE.
8. General.
This License will be governed by and construed in accordance with the laws of the Licensors headquarters state, and shall inure to the benefit of Licensor and End-User and their successors, assigns and legal representatives. If any provision of this License is held by a court of competent jurisdiction to be invalid or unenforceable to any extent under applicable law, that provision will be enforced to the maximum extent permissible, and the remaining provisions of this License will remain in full force and effect. Any notices or other communications to be sent to Licensor must be mailed first class, postage prepaid, to the licensors address as listed on the product or accompanying materials.
9. Acknowledgment.
BY OPENING THIS PACKAGE, THE END-USER ACKNOWLEDGES THAT IT HAS READ THIS LICENSE, UNDERSTANDS IT, AND AGREES TO BE BOUND BY ITS TERMS AND CONDITIONS. Should you have any questions concerning this License, contact Licensor at the address set forth in the accompanying software or documentation.
10. No Waiver.
The waiver or failure of either party to exercise in any respect any right provided in this agreement shall not be deemed a waiver of any other right or remedy to which the party may be entitled.
11. Entirety of Agreement.
The terms and conditions set forth herein constitute the entire agreement between the parties and supersede any communications or previous agreements with respect to the subject matter of this Agreement. There are no written or oral understandings directly or indirectly related to this Agreement that are not set forth herein. No change can be made to this Agreement other than in writing and signed by both parties.
12. Governing Law.
This Agreement shall be construed and enforced according to the laws of the State of ____________________ and any dispute under this Agreement must be brought in this venue and no other.

This inalienable right to give up is an integral part of the Manufacturers motivation to enter into this Agreement and therefore expects any Court of competent jurisdiction to honor this right as the full and complete intent of the parties.
If the Manufacturer stops selling the product or products as indicated by the Manufacturer in writing to the Licensor, and exerts its rights under this clause in writing to the Licensor, all rights revert to the Licensor as long as the Licensor takes no further legal or collection action against the Manufacturer. This clause is intentionally in favor of the Manufacturer in order to induce them to enter into this Agreement and undertake their responsibilities under this Agreement.
2. Payment of Royalty.
Manufacturer will pay Licensor a royalty, which shall be calculated as follows: ______________________________________________________________________.
Payment shall be due 15 Days after the end of each quarter. A written royalty report shall accompany each payment.
3. Defaults.
If Manufacturer fails to abide by the obligations of this Agreement, including the obligation to make a royalty payment when due, Licensor shall have the option to cancel this Agreement by providing 30 days written notice to Manufacturer and permitting them another 30 Days to cure. Manufacturer shall have the option of preventing the termination of this Agreement by taking corrective action that cures the default, if such corrective action is taken prior to the end of the time period stated in the previous sentence, and if there are no other defaults during such time period.
4. Assignment of Rights.
Either party may assign their rights to this Agreement to any other party. This assignment will not relieve the assigning party of their responsibilities under this Agreement. The assigning party should, as a courtesy, notify the other party of the assignment. This responsibility remains a “courtesy only†because the assignor remains fully and completely responsible for all their duties prior to assignment.
5. Notices.
Any notice required by this Agreement or given in connection with it, shall be in writing and shall be given to the appropriate party by personal delivery or a recognized over night delivery service such as FedEx.

6. No Waiver.

8. Governing Law.
This Agreement shall be construed and enforced according to the laws of the State of ____________________ and any dispute under this Agreement must be brought in this venue and no other.
9. Headings in this Agreement
The headings in this Agreement are for convenience only, confirm no rights or obligations in either party, and do not alter any terms of this Agreement.
10. Severability.
If any term of this Agreement is held by a court of competent jurisdiction to be invalid or unenforceable, then this Agreement, including all of the remaining terms, will remain in full force and effect as if such invalid or unenforceable term had never been included.

This review list is provided to help you complete this License Agreement. License agreements imply ongoing payments. We have found that outright purchases, paid in cash, if they can be agreed upon, lead to more satisfactory results for both parties. The reasons are numerous: (1) there will never be a contention, as so often happens between Licensors and Manufacturers or Publishers, that the Manufacturer or Publisher did not do enough, report sales properly, and so on and so on; (2) the manufacturer pays considerably more up front but has no affirmative duty to market the product immediately, deal with the licensor and his or her representatives, and be subject to inquisition by the Licensor; (3) the Licensor gets all the money up front and can sleep at night not worrying about if he or she will get what they believe they deserve.
Obviously the Licensor has to take far less money than the full potential of royalty payments. However, since most license deals fail, the reduced payment approach is a more conservative one for the recipient (i.e., Licensor). This option is well worth thinking about from a business point of view by both parties. We walk this talk by doing it ourselves at Simply Media and have much happier Licensors than we ever had when we licensed products on a royalty basis. Our costs are considerably reduced because we have no on going royalty responsibilities in terms of money or contact, and no affirmative duty to market products immediately.
With this warning in mind, in this simple License Agreement we have included an inalienable right to give up clause, or backdoor, so that if for any reason the Manufacturer wants to give up, they can do so without further recourse by the Licensor. Napoleon once said, “A great general is known by how he retreats to fight another day.†Indeed, the same is true for license rights; some work; some dont. The key to success is to have a back door escape clause.
If the product or products are so good, the Licensor should not be unduly concerned about the product or products reverting to him or her if things should not work out. It is on the margins that a licensor becomes concerned. A shrewd Manufacturer looks for those signs by the actions of the licensor, if unwilling to accept this benign walk away clause. Roger Fisher in Getting to Yes frequently discusses the importance of walk away positions in negotiations. In essence he says, “There is always another deal. Be prepared to walk away if the price is too high.†We concur with his emphasis.
In addition, both parties retain the right to assign their rights without prior notification to the other party, to prevent disputes on that subject, but then must continue on the agreement as fully responsible if another party takes on the assignment. This clause is intended to protect the financial interests of both parties without punishing them.
Exclusive versus nonexclusive. Manufacturers usually want exclusive rights worldwide. But, that is much more expensive than taking just the rights you need. At Simply Media, for example, we just take the rights to the CD ROM market. We let artists and authors retain the rights to sell the same work into the book or other markets, as a rule. In this way we pay less and they get extra income elsewhere. A true win/win. There are arguments for both points of view. List your mutual decision in Section 1.
This is the simplest license agreement that makes sense. More complicated ones are generally in use but have more perils for all of the parties associated with them, not the least of which is the opportunity for lawyers to get hold of them and make a meal out of it. Simpler licenses are coming to the foreground, however. When we had a Computer Associates (CA-NYSE) agreement assigned to us at Simply Media we were stunned by its clarity, simplicity, and shortness. Further conversations with CA led us to conclude that simpler, even if it favored the other party, led to more amicable relations, better financial results, and far less litigation. 1. Make at least two copies of the Agreement, with an original retained by both parties. You should keep a copy in a separate license folder, where you have all copies of licenses available, as well as in your file on the product or products themselves.
2. Remember that it is far easier to get into one of these Agreements than out of them. If you are the Manufacturer you may well be dealing with their hopes and dreams, as well as their dreams of sugarplums and big money, so watch out. If you are the Licensor remember this is only business to them. Be guided accordingly. Things that start easy end easy. The opposite is also true: those things that start hard usually end hard. This Agreement starts easy so it can end easy. However, if you wish to “nab†or “hook†the other party, this is the wrong agreement for you.
3. Be warned: whenever the comments in the review list are as long or almost as long as the agreement itself, you are in some peril. Therefore, you are well advised to consult your attorney. Remember that the above is business advice. If your attorney pushes for harder terms, be sure you understand the legal reasons versus the business ones. It depends on the nature of the violation. In most situations, real damages makes the most sense: you sent this mp3 to four of your friends, cheating the rightsholder out of $3.96, you should pay them $3.96. You used this song in your YouTube video, cheating the licensor out ofa standard $50 fee, you should pay them $50 and maybe a percentage of ad revenue. When we're talking about mass reproduction and distribution--straight-up, hardcore piracy--that's when I have no problem saying bring in the lawyers and get every penny you can.
To me, the problem arises when a rightsholder tries to treat everyone the same, dragging the lawyers in at the drop of a hat, whether it's a large-scale operation offering full downloads of big-budget movies a week before they open in theaters, or a 14-year-old kid posting a 90-second clip of his favorite scene. Depends on why you need to use the space. Licenses by definition are for an indefinite period that either party technically should have the right to cancel at any time. Leases typically have a specified time/term. The "Licensor" (the "landlord" under a license) retains control this way, to terminate the relationship if things aren't going well, without having to go to court for an "eviction" (as long as state or local law doesn't require an eviction regardless of the kind of arrangement the document says it is. Licenses usually also don't have as many legal provisions and are for really short periods of time. For example, if a movie company wanted to shoot a scene on your front lawn, a license would be more likely the document because it would give the homeowner the comfort that if things were going badly he or she could simply tell the movie people to get off the property. It is something better than an oral arrangement too, because without the written agreement the "Licensee" (the "tenant" of the license) might claim greater fixed rights like a lease.

I am a musician and am very happy to have people download my music for free. How else will I ever become known??? Particularly as I write in the alternative genre in a country (Australia) without a huge industry.Way less than 1% of acts ever get signed and of those few earn any money from record sales. In fact it is common practice for companies to sign up bands and NOT promote them in order to stop competition with their existing bands.I could go on and on about the corruption of the recording industry (sony make a lot of money from weapons commmunications sales)I have started to self publish on Limewire to use it as a promotion tool.This is the only future for the recording indusrty, they need to get with it, music is a right not a privilege so yes you may be infringing copyright laws by downloading overseas music ( much like 'dubbing' onto cassettes was in the 80's)but only by lots of people doing it will the laws change....

We had to get rid of it because it was sending us viruses, and imagine if everybody used it; artists would sing, bring out a single, one person would buy it, make it available to everybody on limewire and then they get it for free. That artist only gets �1.99 after working hard for a year to release that single. How would you feel?Any legal music download company would make you pay for each song you download-if you don't know any of these companies try Napster, Tesco Download store, MSN music, audible.co.UK, Wanadoo jukebox, Packard Bell music station or Tiscalli music. All of these have been aproved of and are definatley legal. If limewire was legel then why would it be such a ridiculous price for all the songs you want...in the world? DVD is the work of many companies and many people. DVD evolved from CD and related technologies. Some of the early proposals for "high-density CD" were made in 1993, and these efforts gradually coalesced into two competing proposed formats. The MMCD format was backed by Sony, Philips, and others. The SD format was backed by Toshiba, Matsushita, Time Warner, and others. No single company "owns" DVD. 2. INTELLECTUAL PROPERTY
(a) Rights in Work. In consideration for the opportunity to participate in and use the Services and for other good and valuable consideration, the receipt of which User acknowledges, and without further compensation to User, User agrees that the content of any Message submitted by User ("Content") will be a contribution to a collective work prepared as a "work for hire" for Answers.com and that Answers.com shall be considered the author of the Content for purposes of copyright and shall own all the rights in and to the Content, including all copyrights or other proprietary rights. To the extent that the foregoing is not effective for any reason, User hereby assigns and agrees to assign upon creation to Answers.com all right, title and interest in and to the Content and all materials contained therein or prepared therefore and the results and proceeds thereof to the extent that User has had or will have any right, title or interest therein. To the extent any of the foregoing rights, including so-called "moral rights" or rights of "droit moral," may be inalienable, User agrees to waive and agrees not to exercise such rights, and if such waiver and agreement are deemed invalid, to grant to Answers.com and its designees the exclusive, perpetual, irrevocable, worldwide and royalty free right to use, market and modify such items without any obligation of attribution or consent. User will not take any action that jeopardizes Answers.com's proprietary rights, or acquire any right in the Content.
(b) Answers.com's Rights. Answers.com will own all right, title and interest in the Content, including all rights in any copy, translation, modification, adaptation or derivation of the Content. Answers.com shall have the sole and exclusive right throughout the universe in all languages and in perpetuity to use and exploit all or any part of the Content and all or any part of any material contained therein or prepared therefor, whether or not used therein, in any format or version, by any means and in any media, whether now known or hereafter developed, without further compensation to you. Answers.com may distribute Content at its sole discretion by any method of distribution now existing or later developed.
(c) Rights Clearances and Assignments. You will be solely responsible for obtaining all rights clearances (including any work-for-hire agreements or assignments from employees, agents, contractors, consultants or representatives needed by User to effectuate Answers.com's rights set forth in this Section) with respect to all Content created or provided by User to Answers.com in connection with this Agreement. At Answers.com's request, User will obtain the execution of any instrument, including from any employee or contractor that may be appropriate to assign these rights under this Section to Answers.com or perfect these rights in Answers.com's name.
(d) Answers.com's Proprietary Material. The Content and all other information, data, text, graphics, images, photographs, audio and video clips, logos, icons and software appearing on the Site ("WikiAnswers Content") are and will remain the property of Answers.com, our suppliers, our agents and our licensors. The Answers, Answers.com, and WikiAnswers names and logos, among others, are the trademarks and/or service marks of Answers.com. Without our written prior permission, you agree not to display, or use in any manner, the marks of Answers.com. You may not copy, distribute, prepare derivative works from or otherwise use WikiAnswers Content for any public or commercial purpose without the written permission of Answers.com. The trademarks, logos, and service marks not owned on behalf of Answers.com and that are displayed on the Services are the registered or unregistered marks of their respective owners. YOU AGREE THAT ANSWERS.COM SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM ANY INTERRUPTION, SUSPENSION OR TERMINATION OF THE SERVICES. 5. INDEMNITY
Without limiting the generality or effect of other provisions of this Agreement, as a condition of use of the Services, each User agrees to indemnify, hold harmless, and defend Answers.com, and each of its respective affiliates, sub-contractors, agents, and employees against all third party claims, liabilities and damages, including reasonable attorney's fees, incurred or allegedly incurred by or arising out of your breach of this Agreement, the content of any Message posted by you, and/or your violation of any law or the rights of a third party.

Answers.com also reserves the right to refuse access to the Services to anyone at any time without notice for any reason. 8. DEALINGS WITH ADVERTISERS OR THIRD PARTY VENDORS
The Site may include advertisements. Your correspondence or business dealings with, or participation in promotions of, advertisers or third party vendors found on or through the Services, including payment and delivery of related goods or products, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser or third party vendor. This Agreement shall be interpreted in accordance with the laws of the State of New York without regard to its conflicts of law principles. You and Answers.com are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.
You agree to submit any and all controversies or claims arising out of or relating to this Agreement or the existence, validity, breach or termination thereof, whether during or after its term, to the American Arbitration Association ("AAA") for final disposition by compulsory arbitration under AAA's Commercial Arbitration Rules and Supplementary Procedures for Commercial Arbitration; provided that either party may bring an action of injunctive relief in any court having jurisdiction over the matter. The arbitration proceeding will take place in New York City, New York.
The arbitral award will be your exclusive remedy for all claims, counterclaims, issues or accountings presented or plead to the arbitrator. Judgment upon the arbitral award may be entered in any court that has jurisdiction thereof. Any additional costs, fees or expenses incurred in enforcing the arbitral award will be charged against the party that resists its enforcement. This Agreement may only be amended as provided in the Introduction. Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. At any time upon request by Answers.com, you agree to sign a nonelectric version of this Agreement.
In the event that any provision of this Agreement is determined to be invalid or unenforceable, such provision shall be severed from this Agreement, and the remainder of this Agreement shall continue to be valid and enforceable.
This Agreement's section headings, bold text, and capitalized text are included for convenience only, and shall not limit or otherwise affect the terms of this Agreement.
This Agreement is the complete and entire statement between you and Answers.com with respect to the subject matter hereof. If you are located outside the USA then you are responsible for complying with any local laws in your jurisdiction that might impact your right to use the Services, and you represent that you have complied with any regulations or registration procedures required by applicable law to make this Agreement enforceable.

END-USER LICENSE AGREEMENT FOR MICROSOFT
SOFTWARE
IMPORTANT-READ CAREFULLY: This End-User
License Agreement ('EULA') is a legal
agreement between you (either an individual
or a single entity) and the manufacturer
("Manufacturer") of the computer system or
computer system component ('HARDWARE') with
which you acquired the Microsoft software
product(s) identified on the Certificate of
Authenticity ("COA") affixed to the HARDWARE
or on the associated product documentation
('SOFTWARE'). The SOFTWARE includes Microsoft
computer software, and may include associated
media, printed materials, 'online' or
electronic documentation, and internet based
services. Note, however, that any software,
documentation, or web services that are
included in the SOFTWARE, or accessible via
the SOFTWARE, and are accompanied by their
own license agreements or terms of use are
governed by such agreements rather than this
EULA. The terms of a printed paper EULA,
which may accompany the SOFTWARE, supersede
the terms of any on-screen EULA. This EULA is
valid and grants the end-user rights ONLY if
the SOFTWARE is genuine and a genuine
Certificate of Authenticity for the SOFTWARE
is included. For more information on

YOU AGREE TO BE BOUND BY THE TERMS OF THIS
EULA BY INSTALLING, COPYING, OR OTHERWISE
USING THE SOFTWARE. If you do not agree to
the terms of this EULA, you may not use or
copy the SOFTWARE, and you should promptly
contact Manufacturer for instructions on
return of the unused product(s) for a refund
in accordance with Manufacturer's return
policies.
Software PRODUCT LICENSE
The term "COMPUTER" as used herein shall
mean the HARDWARE, if the HARDWARE is a
single computer system, or shall mean the
computer system with which the HARDWARE
operates, if the HARDWARE is a computer
system component.
1. GRANT OF LICENSE. Manufacturer grants you
the following rights provided that you comply
with all terms and conditions of this EULA:
1.1 Installation and use. You may install,
use, access, display and run one copy of the
Software on the Computer. The Software may
not be used by more than two (2) processors
at any one time on the Computer, unless a
higher number is indicated on the COA.
1.2 SOFTWARE as a Component of the COMPUTER -
Transfer. This license may not be shared,
transferred to or used concurrently on
different computers. The SOFTWARE is licensed
with the COMPUTER as a single integrated
product and may only be used with the
COMPUTER. If the SOFTWARE is not accompanied
by HARDWARE, you may not use the SOFTWARE.
You may permanently transfer all of your
rights under this EULA only as part of a
permanent sale or transfer of the COMPUTER,
provided you retain no copies of the SOFTWARE.
If the SOFTWARE is an upgrade, any transfer
must also include all prior versions of the
SOFTWARE. This transfer must also include the
Certificate of Authenticity label. The
transfer may not be an indirect transfer,
such as a consignment. Prior to the transfer,
the end user receiving the Software must
agree to all the EULA terms.
1.3 Mandatory Activation. The license rights
granted under this EULA are limited to the
first thirty (30) days after you first
install the SOFTWARE unless you supply
information required to activate your
licensed copy in the manner described during
the setup sequence of the SOFTWARE. You can
activate the SOFTWARE through the use of the
Internet or telephone; toll charges may apply.
You may also need to reactivate the SOFTWARE
if you modify your computer hardware or alter
the SOFTWARE. There are technological
measures in this SOFTWARE that are designed
to prevent unlicensed use of the SOFTWARE.
Microsoft will use those measures to confirm
you have a legally licensed copy of the
SOFTWARE. If you are not using a licensed
copy of the SOFTWARE, you are not allowed to
install the SOFTWARE or future SOFTWARE
updates. Microsoft Licensing, GP, Microsoft
Ireland Operations Limited and/or Microsoft
(China) Co. Limited (collectively 'MS'),
Microsoft Corporation and its subsidiaries
will not collect any personally identifiable
information from your COMPUTER during this
process.
1.4 Device Connections. You may permit a
maximum of ten (10) computers or other
electronic devices (each a 'Device') to
connect to the Computer to utilize one or
more of the following services of the
Software: File Services, Print Services,
Internet Information Services, Internet
Connection Sharing and telephony services.
The ten connection maximum includes any
indirect connections made through
'multiplexing' or other software or hardware
which pools or aggregates connections. This
ten connection maximum does not apply to
other uses of the Software, such as
synchronizing data between a Device and the
Computer, provided only one user uses,
accesses, displays or runs the Software at
any one time. This Section 1.4 does not grant
you rights to access a Computer Session from
any Device. A 'Session' means any use of the
Software that enables functionality similar
to that available to an end user who is
interacting with the Computer through any
combination of input, output and display
peripherals.
1.5 Remote Desktop/Remote
Assistance/NetMeeting/Extenders. The SOFTWARE
contains Remote Desktop, Remote Assistance,
and NetMeeting technologies that enable the
SOFTWARE or applications installed on the
COMPUTER (sometimes referred to as a host
device) to be accessed remotely from other
Devices. You may use the SOFTWARE's Remote
Desktop feature (or other software which
provides similar functionality for a similar
purpose) to access a Computer Session from
any Device provided you acquire a separate
SOFTWARE license for that Device. As an
exception to this rule, the person who is the
single primary user of the COMPUTER may
access a Computer Session from any Device
without acquiring an additional SOFTWARE
license for that Device. When you are using
Remote Assistance or NetMeeting (or other
software which provides similar functionality
for a similar purpose) you may share a
Session with other users without any limit on
the number of Device connections and without
acquiring additional licenses for the
SOFTWARE. In addition, you are permitted to
have five (5) Media Center Extender Sessions
(or other software which provides similar
functionality for a similar purpose) running
concurrently solely to access the Software
user interface or content residing on the
Computer on other displays or devices. For
Microsoft and non-Microsoft applications, you
should consult the license agreement
accompanying the applicable software or
contact the applicable licensor to determine
whether use of the software with Remote
Desktop, Remote Assistance, or NetMeeting, or
Extender is permitted without an additional
license. Except as otherwise permitted by the
NetMeeting, and Remote Assistance and
Extender features described above, a license
for the SOFTWARE may not be shared or used
concurrently on different computers, such as
a workstation, terminal or other device.
1.6 Back-up Copy. you may make a single back-
up copy of the SOFTWARE. You may use one (1)
back-up copy solely for your archival
purposes and to reinstall the SOFTWARE on the
COMPUTER. Except as expressly provided in
this EULA or by local law, you may not
otherwise make copies of the SOFTWARE,
including the printed materials accompanying
the SOFTWARE. You may not loan, rent, lease,
lend or otherwise transfer the CD or back-up
copy to another user.
2. AUTOMATIC INTERNET-BASED SERVICES. The
SOFTWARE features described below are enabled
by default to connect via the Internet to
Microsoft computer systems automatically,
without separate notice to you. You consent
to the operation of these features, unless
you choose to switch them off or not use them.
Microsoft does not use these features to
collect any information that will be used to
identify you or contact you. For more
information about these features, please see
the privacy statement at
http://go.Microsoft.com/fwlink/?LinkId=25243.
2.1 Windows Update Features. If you connect
hardware to your COMPUTER, it may not have
the drivers needed to communicate with that
hardware. The SOFTWARE's update feature can
obtain the correct drivers from Microsoft and
install them on your device. You can switch
this update feature off.
2.2 Web Content Features. Under the
SOFTWARE's default configuration, if you are
connected to the Internet, several features
of the SOFTWARE are enabled by default to
retrieve content from Microsoft computer
systems and display it to you. When you
activate such a feature, it uses standard
Internet protocols, which transmit the type
of operating system, browser and language
code of your COMPUTER to the Microsoft
computer system so that the content can be
viewed properly from your COMPUTER. These
features only operate when you activate them,
and you may choose to switch them off or not
use them. Examples of these features include
Windows Catalog, Search Assistant, and the
Headlines and Search features of Help and
Support Center.
2.3 Digital Certificates. The SOFTWARE uses
digital certificates based on the x.509
standard. These digital certificates confirm
the identity of Internet users sending x.509
standard encrypted information. The software
retrieves certificates and updates
certificate revocation lists. These security
features operate only when you use the
Internet.
2.4 Auto Root Update. The Auto Root Update
feature updates the list of trusted
certificate authorities. You can switch off
the Auto Root Update feature.
2.5 Windows Media Player. Some features of
Windows Media Player automatically contact
Microsoft computer systems if you use Windows
Media Player or specific features of it:
features that (A) check for new codecs if
your COMPUTER does not have the correct ones
for content you attempt to play (this feature
may be switched off), and (B) check for new
versions of Windows Media Player (this
feature will operate only when you are using
Windows Media Player).
2.6 Windows Media Digital Rights Management.
Content providers are using the digital
rights management technology for Windows
Media contained in this SOFTWARE ('WM-DRM')
to protect the integrity of their content
("Secure Content") so that their intellectual
property, including copyright, in such
content is not misappropriated. Portions of
this SOFTWARE and third party applications
such as media players use WM-DRM to play
Secure Content ('WM-DRM Software'). If the WM-
DRM Software's security has been compromised,
owners of Secure Content ("Secure Content
Owners") may request that Microsoft revoke
the WM-DRM Software's right to copy, display
and/or play Secure Content. Revocation does
not alter the WM-DRM Software's ability to
play unprotected content. A list of revoked
WM-DRM Software is sent to your COMPUTER
whenever you download a license for Secure
Content from the Internet. Microsoft may, in
conjunction with such license, also download
revocation lists onto your COMPUTER on behalf
of Secure Content Owners. Secure Content
Owners may also require you to upgrade some
of the WM-DRM components in this SOFTWARE
('WM-DRM Upgrades') before accessing their
content. When you attempt to play such
content, WM-DRM Software built by Microsoft
will notify you that a WM-DRM Upgrade is
required and then ask for your consent before
the WM-DRM Upgrade is downloaded. WM-DRM
Software built by third parties may do the
same. If you decline the upgrade, you will
not be able to access content that requires
the WM-DRM Upgrade; however, you will still
be able to access unprotected content and
Secure Content that does not require the
upgrade. WM-DRM features that access the
Internet, such as acquiring new licenses
and/or performing a required WM-DRM Upgrade,
can be switched off. When these features are
switched off, you will still be able to play
Secure Content if you have a valid license
for such content already stored on your
COMPUTER.
3. RESERVATION OF RIGHTS AND OWNERSHIP.
Manufacturer, MS and its suppliers (including
Microsoft Corporation) reserve all rights not
expressly granted to you in this EULA. The
SOFTWARE is protected by copyright and other
intellectual property laws and treaties.
Manufacturer, MS and its suppliers (including
Microsoft Corporation) own the title,
copyright, and other intellectual property
rights in the SOFTWARE. The SOFTWARE is
licensed, not sold.
4. LIMITATIONS ON REVERSE ENGINEERING,
DECOMPILATION, AND DISASSEMBLY. You may not
reverse engineer, decompile, or disassemble
the SOFTWARE, except and only to the extent
that such activity is expressly permitted by
applicable law notwithstanding this
limitation.
5. NO RENTAL/COMMERCIAL HOSTING. You may not
rent, lease, lend or provide commercial
hosting services with the SOFTWARE to others.
6. Separation of Components. The SOFTWARE is
licensed as a single product. Its component
parts may not be separated for use on more
than one computer.
7. Speech/Handwriting Recognition. If the
SOFTWARE includes speech and/or handwriting
recognition component(s), you should
understand that speech and handwriting
recognition are inherently statistical
processes; that recognition errors are
inherent in the processes; that it is your
responsibility to provide for the handling of
such errors and to monitor the recognition
processes and correct any errors. Neither
Manufacturer, MS, Microsoft Corporation, nor
their suppliers shall be liable for any
damages arising out of errors in the speech
and handwriting recognition processes.
8. Language Version Selection. Manufacturer
may have elected to provide you with a one-
time selection of two or more language
versions of the SOFTWARE as part of the
SOFTWARE setup process. In such event, you
are licensed to use only one (1) of the
language versions provided. Once you have
used a language version, you are not licensed
to use any of the other language versions
that Manufacturer may have included with the
COMPUTER. Notwithstanding the preceding, if
Manufacturer has elected to provide you with
a Multilingual User Interface ('MUI') for
certain language versions with additional
language version support of the SOFTWARE, the
preceding limitation to select and use only
one language version of the SOFTWARE shall
not apply, so long as (A) you acknowledge
that the MUI, and the language support
contained therein, is a part of the SOFTWARE,
(B) you only use the MUI with the SOFTWARE,
and (C) you comply with all of the other
terms and conditions of this EULA.
9. MULTIPLE EULAS OR COAS. The package for
the SOFTWARE may contain multiple versions of
this EULA, such as multiple translations
and/or multiple media versions (e.g., in the
user documentation and in the software). In
this case, you are only licensed to use the
SOFTWARE for which a COA is provided. If the
COMPUTER is accompanied by more than one (1)
COA for a Microsoft operating system, you are
licensed to use each Microsoft operating
system(s) for which a COA is provided.
10. If You are licensed for Windows XP Media
Center Edition 2005, the following terms and
conditions apply:
10.1 NOTICE REGARDING WORLDWIDE USE OF THE
MEDIA CENTER EDITION: Windows XP Media Center
Edition is not designed for use in every
country. For example, although the Media
Center Edition documentation may refer to
certain features such as an electronic
programming guide and/or provide information
on how to configure a TV tuner; these
features may not work for your location.
Please refer to the Media Center Edition
documentation for a list of features that may
not work for your location.
10.2 Electronic Programming Guide. If the
SOFTWARE includes access to an electronic
programming guide service that displays
customized television listings (the 'EPG'),
you agree that the terms and conditions
governing your use of the EPG service are
subject to a separate EPG terms of service
agreement ('EPG Terms of Service Agreement').
The EPG also may contains advertising content
and other related EPG data, which are
received and stored as data files within the
SOFTWARE. If you do not agree to the EPG
Terms of Service Agreement, you may continue
to use the SOFTWARE, but you will not have
access to the EPG. The EPG is not available
in all areas. Please consult the SOFTWARE
documentation for instructions on accessing
the EPG Terms of Service Agreement.
10.3 Related Media Information. If you
request related media information to be
provided as part of your playback experience,
you agree the data provided to you may not be
in your local language. Please note: various
countries/regions have laws and regulations
which may restrict or limit the user's
ability to access certain types of content
and we urge you to determine if you are
subject to such laws and regulations.
10.4 Consent to Update Infrared
Emitter/Receiver. The SOFTWARE may contain
technology to ensure the proper functioning
of the Infrared Eemitter/Transceiverreceiver
device that ships with certain Microsoft
Windows XP Media Center Edition products. By
accepting this EULA, you agree that the
SOFTWARE may update the firmware of this
device.
11. Trademarks. This EULA does not grant you
any rights in connection with any trademarks
or service marks of Manufacturer, MS or its
suppliers (including Microsoft Corporation).
12. PRODUCT SUPPORT. Support for the
SOFTWARE is not provided by MS, Microsoft
Corporation, or their affiliates or
subsidiaries. For SOFTWARE support, please
refer to Manufacturer's support number
provided in the documentation for the
HARDWARE. Should you have any questions
concerning this EULA, or if you desire to
contact Manufacturer for any other reason,
please refer to the address provided in the
documentation for the HARDWARE.
13. LINKS TO THIRD PARTY SITES. You may link
to third party sites through the use of the
SOFTWARE. The third party sites are not under
the control of MS or Microsoft, and MS or
Microsoft are not responsible for the
contents of any third party sites, any links
contained in third party sites, or any
changes or updates to third party sites. MS
or Microsoft are not responsible for
webcasting or any other form of transmission
received from any third party sites. MS or
Microsoft are providing these links to third
party sites to you only as a convenience, and
the inclusion of any link does not imply an
endorsement by MS or Microsoft of the third
party site.
14. ADDITIONAL SOFTWARE/SERVICES. This EULA
applies to updates, supplements, add-on
components, product support services, or
Internet-based services components, of the
SOFTWARE that you may obtain from
Manufacturer, MS, Microsoft Corporation or
their subsidiaries after the date you obtain
your initial copy of the SOFTWARE, unless you
accept updated terms or another agreement
governs. If other terms are not provided
along with such Supplemental Components and
the Supplemental Components are provided to
you by MS, Microsoft Corporation or their
subsidiaries then you will be licensed by
such entity under the same terms and
conditions of this EULA, except that (i) MS,
Microsoft Corporation or their subsidiaries
providing the Supplemental Components will be
the licensor with respect to such
Supplemental Components in lieu of the
"Manufacturer" for the purposes of the EULA,
and (ii) TO THE MAXIMUM EXTENT PERMITTED BY
APPLICABLE LAW, THE SUPPLEMENTAL COMPONENTS
AND ANY (IF ANY) SUPPORT SERVICES RELATED TO
THE SUPPLEMENTAL COMPONENTS ARE PROVIDED AS
IS AND WITH ALL FAULTS. ALL OTHER DISCLAIMERS,
LIMITATION OF DAMAGES, AND SPECIAL PROVISIONS
PROVIDED BELOW AND/OR OTHERWISE WITH THE
SOFTWARE SHALL APPLY TO SUCH SUPPLEMENTAL
COMPONENTS. MS, Microsoft Corporation or
their subsidiaries reserve the right to
discontinue any Internet-based services
provided to you or made available to you
through the use of the SOFTWARE.
15. UPGRADES. If the SOFTWARE is labeled as
an upgrade, you must be properly licensed to
use a product identified by MS or Microsoft
Corporation as being eligible for the upgrade
in order to use the SOFTWARE ("Eligible
Product"). For the purpose of upgrade(s) only,
"HARDWARE" shall mean the computer system or
computer system component with which you
received the Eligible Product. SOFTWARE
labeled as an upgrade replaces and/or
supplements (and may disable, if upgrading a
Microsoft software product) the Eligible
Product which came with the HARDWARE. After
upgrading, you may no longer use the SOFTWARE
that formed the basis for your upgrade
eligibility (unless otherwise provided). You
may use the resulting upgraded product only
in accordance with the terms of this EULA and
only with the HARDWARE. If the SOFTWARE is an
upgrade of a component of a package of
software programs that you licensed as a
single product, the SOFTWARE may be used and
transferred only as part of that single
product package and may not be separated for
use on more than one computer.
16. NOT FOR RESALE SOFTWARE. SOFTWARE
identified as 'Not For Resale' or 'NFR,' may
not be sold or otherwise transferred for
value, or used for any purpose other than
demonstration, test or evaluation.
17. ACADEMIC EDITION SOFTWARE. To use
SOFTWARE identified as 'Academic Edition' or
'AE,' you must be a 'Qualified Educational
User.' For qualification-related questions,
please contact the Microsoft Sales
Information Center/One Microsoft Way/Redmond,
WA 98052-6399 or the Microsoft subsidiary
serving your country.
18. NOTICES REGARDING THE MPEG-4 VISUAL
STANDARD. The SOFTWARE includes MPEG-4 visual
decoding technology. This technology is a
format for data compression of video
information. For this technology, MPEG LA, L.
L.C. requires this notice:
USE OF THIS PRODUCT IN ANY MANNER THAT
COMPLIES WITH THE MPEG-4 VISUAL STANDARD IS
PROHIBITED, EXCEPT FOR USE DIRECTLY RELATED
TO (A) DATA OR INFORMATION (i) GENERATED BY
AND OBTAINED WITHOUT CHARGE FROM A CONSUMER
NOT THEREBY ENGAGED IN A BUSINESS ENTERPRISE,
AND (ii) FOR PERSONAL USE ONLY; AND (B) OTHER
USES SPECIFICALLY AND SEPARATELY LICENSED BY

end-user, end-use, and destination
restrictions issued by U.S. and other
governments. For additional information see

20. END USER PROOF OF LICENSE. If you
acquired the SOFTWARE on a device, or on a
compact disc or other media, a genuine
Microsoft 'Proof of License' COA label with a
genuine copy of the software identifies a
licensed copy of the SOFTWARE. To be valid,
the label must be affixed to the COMPUTER, or
appear on the software packaging. If you
receive the label separately, it is invalid.
You should keep the label on the COMPUTER or
packaging to prove that you are licensed to
use the SOFTWARE.
21. TERMINATION. Without prejudice to any
other rights, Manufacturer or MS may
terminate this EULA if you fail to comply
with the terms and conditions of this EULA.
In such event, you must destroy all copies of
the SOFTWARE and all of its component parts.
22. NOTICE REGARDING SECURITY. To help
protect against breaches of security and
malicious software, periodically back up your
data and system information, use security
features such as firewalls, and install and
use security updates.
23. LIMITED WARRANTY FOR Software ACQUIRED
IN THE US AND CANADA.
Manufacturer warrants that the SOFTWARE will
perform substantially in accordance with the
accompanying materials for a period of ninety
(90) days from the date of receipt.
If an implied warranty or condition is
created by your state/jurisdiction and
federal or state/provincial law prohibits
disclaimer of it, you also have an implied
warranty or condition, BUT ONLY AS TO DEFECTS
DISCOVERED DURING THE PERIOD OF THIS LIMITED
WARRANTY (NINETY DAYS). AS TO ANY DEFECTS
DISCOVERED AFTER THE NINETY-DAY PERIOD, THERE
IS NO WARRANTY OR CONDITION OF ANY KIND. Some
states/jurisdictions do not allow limitations
on how long an implied warranty or condition
lasts, so the above limitation may not apply
to you.
Any supplements or updates to the SOFTWARE,
including without limitation, any (if any)
service packs or hot fixes provided to you
after the expiration of the ninety-day
Limited Warranty period are not covered by
any warranty or condition, express, implied
or statutory.
LIMITATION ON REMEDIES; NO CONSEQUENTIAL OR
OTHER DAMAGES. Your exclusive remedy for any
breach of this Limited Warranty is as set
forth below. Except for any refund elected by
Manufacturer, YOU ARE NOT ENTITLED TO ANY
DAMAGES, INCLUDING BUT NOT LIMITED TO
CONSEQUENTIAL DAMAGES, if the SOFTWARE does
not meet Manufacturer's Limited Warranty, and,
to the maximum extent allowed by applicable
law, even if any remedy fails of its
essential purpose. The terms of Section 25
('Exclusion of Incidental, Consequential and
Certain Other Damages') are also incorporated
into this Limited Warranty. Some
states/jurisdictions do not allow the
exclusion or limitation of incidental or
consequential damages, so the above
limitation or exclusion may not apply to you.
This Limited Warranty gives you specific
legal rights. You may have other rights which
vary from state/jurisdiction to
state/jurisdiction.
YOUR EXCLUSIVE REMEDY. Manufacturer's and
its suppliers' (including MS', Microsoft
Corporation's (including its subsidiaries)
and their respective suppliers') entire
liability and your exclusive remedy for any
breach of this Limited Warranty or for any
other breach of this EULA or for any other
liability relating to the SOFTWARE shall be,
at Manufacturer's option from time to time
exercised subject to applicable law, (a)
return of the amount paid (if any) for the
product(s) in accordance with Manufacturer's
return policies, or (b) repair or replacement
of the SOFTWARE that does not meet this
Limited Warranty and that is returned to
Manufacturer with the Certificate of
Authenticity and a copy of your receipt at
the address specified by Manufacturer. You
will receive the remedy elected by
Manufacturer without charge, except that you
are responsible for any expenses specified in
Manufacturer's warranty remedy documentation.
This Limited Warranty is void if failure of
the SOFTWARE has resulted from accident,
abuse, misapplication, abnormal use or a
virus. Any replacement SOFTWARE will be
warranted for the remainder of the original
warranty period or thirty (30) days,
whichever is longer, and Manufacturer will
use commercially reasonable efforts to
provide your remedy within a commercially
reasonable time of your compliance with
Manufacturer's warranty remedy procedures.
24. DISCLAIMER OF WARRANTIES. The Limited
Warranty that appears above is the only
express warranty made to you and is provided
in lieu of any other express warranties or
similar obligations (if any) created by any
advertising, documentation, packaging, or
other communications. Except for the Limited
Warranty and to the maximum extent permitted
by applicable law, Manufacturer and its
suppliers (including MS, Microsoft
Corporation (including its subsidiaries) and
their respective suppliers) provide the
SOFTWARE and support services (if any) AS IS
AND WITH ALL FAULTS, and hereby disclaim all
other warranties and conditions, whether
express, implied or statutory, including, but
not limited to, any (if any) implied
warranties, duties or conditions of
merchantability, of fitness for a particular
purpose, of reliability or availability, of
accuracy or completeness of responses, of
results, of workmanlike effort, of lack of
viruses, and of lack of negligence, all with
regard to the SOFTWARE, and the provision of
or failure to provide support or other
services, information, software, and related
content through the SOFTWARE or otherwise
arising out of the use of the SOFTWARE. ALSO,
THERE IS NO WARRANTY OR CONDITION OF TITLE,
QUIET ENJOYMENT, QUIET POSSESSION,
CORRESPONDENCE TO DESCRIPTION OR NON-
INFRINGEMENT WITH REGARD TO THE SOFTWARE.
25. EXCLUSION OF INCIDENTAL, CONSEQUENTIAL
AND CERTAIN OTHER DAMAGES. TO THE MAXIMUM
EXTENT PERMITTED BY APPLICABLE LAW, IN NO
EVENT SHALL MANUFACTURER OR ITS SUPPLIERS
(INCLUDING MS, MICROSOFT CORPORATION,
(INCLUDING ITS SUBSIDIARIES) AND THEIR
RESPECTIVE SUPPLIERS) BE LIABLE FOR ANY
SPECIAL, INCIDENTAL, PUNITIVE, INDIRECT, OR
CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING,
BUT NOT LIMITED TO, DAMAGES FOR LOSS OF
PROFITS OR CONFIDENTIAL OR OTHER INFORMATION,
FOR BUSINESS INTERRUPTION, FOR PERSONAL
INJURY, FOR LOSS OF PRIVACY, FOR FAILURE TO
MEET ANY DUTY OF GOOD FAITH OR OF REASONABLE
CARE, FOR NEGLIGENCE, AND FOR ANY OTHER
PECUNIARY OR OTHER LOSS WHATSOEVER) ARISING
OUT OF OR IN ANY WAY RELATED TO THE USE OF OR
INABILITY TO USE THE SOFTWARE, THE PROVISION

THE FAULT, TORT (INCLUDING NEGLIGENCE),
MISREPRESENTATION, STRICT LIABILITY, BREACH
OF CONTRACT OR BREACH OF WARRANTY OF
MANUFACTURER OR ANY SUPPLIER (INCLUDING MS,
MICROSOFT CORPORATION (INCLUDING ITS
SUBSIDIARIES) AND THEIR RESPECTIVE SUPPLIERS),
AND EVEN IF MANUFACTURER OR ANY SUPPLIER
(INCLUDING MS, MICROSOFT CORPORATION
(INCLUDING ITS SUBSIDIARIES) AND THEIR
RESPECTIVE SUPPLIERS) HAS BEEN ADVISED OF THE
POSSIBILITY OF SUCH DAMAGES.
26. LIMITATION OF LIABILITY AND REMEDIES.
NOTWITHSTANDING ANY DAMAGES THAT YOU MIGHT
INCUR FOR ANY REASON WHATSOEVER (INCLUDING,
WITHOUT LIMITATION, ALL DAMAGES REFERENCED
HEREIN AND ALL DIRECT OR GENERAL DAMAGES IN
CONTRACT OR ANYTHING ELSE), THE ENTIRE
LIABILITY OF MANUFACTURER AND ANY OF ITS
SUPPLIERS (INCLUDING MS, MICROSOFT

THEIR RESPECTIVE SUPPLIERS) UNDER ANY
PROVISION OF THIS EULA AND YOUR EXCLUSIVE
REMEDY HEREUNDER (EXCEPT FOR ANY REMEDY OF
REPAIR OR REPLACEMENT ELECTED BY MANUFACTURER
WITH RESPECT TO ANY BREACH OF THE LIMITED
WARRANTY) SHALL BE LIMITED TO THE GREATER OF
THE ACTUAL DAMAGES YOU INCUR IN REASONABLE
RELIANCE ON THE SOFTWARE UP TO THE AMOUNT
ACTUALLY PAID BY YOU FOR THE SOFTWARE OR US$5.

27. U.S. GOVERNMENT LICENSE RIGHTS. All
software provided to the U.S. Government
pursuant to solicitations issued on or after
December 1, 1995, is provided with the
commercial license rights and restrictions
described elsewhere herein. All software
provided to the U.S. Government pursuant to
solicitations issued prior to December 1,
1995, is provided with 'Restricted Rights' as
provided for in FAR, 48 CFR 52.227-14 (JUNE
1987) or DFAR, 48 CFR 252.227-7013 (OCT 1988),
as applicable.
28. APPLICABLE LAW. If you acquired this
SOFTWARE in the United States, this EULA is
governed by the laws of the State of
Washington. If you acquired this SOFTWARE in
Canada, unless expressly prohibited by local
law, this EULA is governed by the laws in
force in the Province of Ontario, Canada; and,
in respect of any dispute which may arise
hereunder, you consent to the jurisdiction of
the federal and provincial courts sitting in
Toronto, Ontario. If you acquired this
SOFTWARE in the European Union, Iceland,
Norway, or Switzerland, then local law
applies. If you acquired this SOFTWARE in any
other country, then local law may apply.
29. ENTIRE AGREEMENT; SEVERABILITY. This
EULA (including any addendum or amendment to
this EULA which is included with the
SOFTWARE) are the entire agreement between
you and Manufacturer relating to the SOFTWARE
and support or other services (if any) and
they supersede all prior or contemporaneous
oral or written communications, proposals and
representations with respect to the SOFTWARE
or any other subject matter covered by this
EULA. If any provision of this EULA is held
to be void, invalid, unenforceable or illegal,
the other provisions shall continue in full
force and effect.

SOFTWARE directly from Manufacturer. If you
acquired the SOFTWARE or any support services
in Australia, New Zealand or Malaysia, please
see the 'Consumer rights' section below.
The guarantee - The SOFTWARE is designed and
offered as general-purpose software, not for
any user's particular purpose. You accept
that no SOFTWARE is error free and you are
strongly advised to back-up your files
regularly. Provided that you have a valid
license, Manufacturer guarantees that (a) for
a period of ninety (90) days from the date of
receipt of your license to use the SOFTWARE
or the shortest period permitted by
applicable law it will perform substantially
in accordance with the materials that
accompany the SOFTWARE; and (b) any support
services provided by Manufacturer shall be
substantially as described in applicable
materials provided to you by Manufacturer. In
the event that the SOFTWARE fails to comply
with this guarantee, Manufacturer will either
(a) repair or replace the SOFTWARE or (b)
return the amount you paid (if any) for the
product(s) in accordance with Manufacturer's
return policies. This guarantee is void if
failure of the SOFTWARE results from accident,
abuse or misapplication. Any replacement
SOFTWARE will be guaranteed for the remainder
of the original guarantee period or thirty
(30) days, whichever period is longer. You
agree that the above guarantee is your sole
guarantee in relation to the SOFTWARE and any
support services.
Exclusion of All Other Terms - To the
maximum extent permitted by applicable law
and subject to the guarantee above,
Manufacturer and its suppliers (including MS,
Microsoft Corporation (including its
subsidiaries) and their respective suppliers)
disclaim all warranties, conditions and other
terms, either express or implied (whether by
statute, common law, collaterally or
otherwise) including but not limited to
implied warranties of satisfactory quality
and fitness for particular purpose with
respect to the SOFTWARE and the written
materials that accompany the SOFTWARE. Any
implied warranties that cannot be excluded
are limited to ninety (90) days or to the
shortest period permitted by applicable law,
whichever is greater.
Limitation of Liability - To the maximum
extent permitted by applicable law and except
as provided in the Manufacturer Guarantee,
Manufacturer and its suppliers (including MS,
Microsoft Corporation, (including its
subsidiaries) and their respective suppliers)
shall not be liable for any damages
whatsoever (including without limitation,
damages for loss of business profits,
business interruption, loss of business
information or other pecuniary loss) arising
out of the use or inability to use the
SOFTWARE, even if Manufacturer and its
suppliers (including MS, Microsoft
Corporation, (including its subsidiaries) and
their respective suppliers) have been advised
of the possibility of such damages. In any
case Manufacturer's and any of its suppliers'
(including MS', Microsoft Corporation's
(including its subsidiaries') and their
respective suppliers') entire liability under
any provision of this EULA shall be limited
to the amount actually paid by you for the
SOFTWARE. These limitations do not apply to
any liabilities that cannot be excluded or
limited by applicable laws.
Consumer rights - Consumers in Australia,
New Zealand or Malaysia may have the benefit
of certain rights and remedies by reason of
the Trade Practices Act and similar state and
territory laws in Australia, the Consumer
Guarantees Act in New Zealand and the
Consumer Protection Act in Malaysia in
respect of which liability cannot lawfully be
modified or excluded. If you acquired the
SOFTWARE in New Zealand for the purposes of a
business, you confirm that the Consumer
Guarantees Act does not apply. If you
acquired the SOFTWARE in Australia and if
Manufacturer breaches a condition or warranty
implied under any law which cannot lawfully
be modified or excluded by this agreement
then, to the extent permitted by law,
Manufacturer's and any of its suppliers'
(including MS', Microsoft Corporation's
(including its subsidiaries') and their
respective suppliers') liability is limited,
at Manufacturer's option, to: (i) in the case
of the SOFTWARE: (a) repairing or replacing
the SOFTWARE; or (b) the cost of such repair
or replacement; and (ii) in the case of
support services, if any: (a) re-supply of
the services; or (b) the cost of having the
services supplied again.
