2. Takeover of one company by another through a Purchase Acquisition a mostly cash transaction, or a Pooling of Interests in which two banks agree to swap common stock. Bank regulators sometimes provide generous assistance to banks that take over failing institutions, paying the acquirer the difference between the book value of the acquired bank's assets and the purchase price.
